Terms of Service

1. Acceptance of Terms

By accessing or using Learnco ("the Service"), operated by Learnco ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent and warrant that you are at least 16 years of age. If you are between 16 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

3. Description of Service

Learnco is an AI-powered study platform that transforms uploaded content (documents, audio, video, presentations, text, and URLs) into structured study materials. The Service includes, but is not limited to:

  • AI-generated notes, flashcards, quizzes, summaries, glossaries, and diagrams
  • AI-generated audio podcasts from your content
  • AI chat for asking questions about your study materials
  • Spaced-repetition flashcard review and quiz-based self-assessment
  • Essay grading with rubric evaluation
  • AI content detection analysis
  • Real-time collaborative note editing
  • Feynman technique evaluation
  • Data export in multiple formats

The Service is provided on a freemium basis with optional paid subscriptions. Features and usage limits may vary by tier.

4. User Accounts

You must create an account to use Learnco. You may register using email and password or through a supported third-party authentication provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep it current. You agree to notify us immediately of any unauthorized use of your account.

5. AI Processing and Third-Party Services

The Service uses artificial intelligence to process your content and generate study materials. By using the Service, you acknowledge and agree that:

  • Your uploaded content, transcripts, chat messages, essay submissions, and other text you provide will be sent to third-party AI providers (including Anthropic, Deepgram, and ElevenLabs) for processing as described in our Privacy Policy.
  • AI-generated study materials are produced algorithmically and may contain errors, inaccuracies, or omissions. They are intended as learning aids and must not be relied upon as the sole source of academic or professional information.
  • If you use the AI detection feature, your submitted text will be sent to a third-party AI detection service (ZeroGPT) for analysis. Detection results are estimates and should not be treated as definitive determinations.
  • We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

6. Acceptable Use

You agree not to:

  • Upload content you do not have the right to use
  • Use the Service to generate content that infringes on intellectual property rights
  • Attempt to bypass usage limits, rate limits, or security measures
  • Use automated tools, bots, or scripts to scrape, extract, or collect data from the Service
  • Share your account credentials with others
  • Upload malicious files, viruses, or content designed to exploit the system
  • Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Resell, sublicense, or commercially redistribute the Service or AI-generated content without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

You retain ownership of all content you upload to Learnco. By uploading content, you grant us a limited, non-exclusive, non-transferable, revocable license to process, transform, store, and transmit that content solely for the purpose of providing the Service to you (including sending it to third-party AI providers for processing). This license terminates when you delete the content or your account.

AI-generated study materials derived from your content are provided for your personal educational use. The Service itself, including its software, design, branding, and documentation, is owned by Learnco and protected by applicable intellectual property laws.

8. Subscriptions and Payments

Learnco offers a free tier with limited usage and paid Pro subscriptions. Pro subscriptions are billed at $3.50/week or $120/year (20% annual discount). All payments are processed through Stripe. Pro subscriptions include a 3-day free trial for new subscribers.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time from your account settings; access to Pro features continues until the end of your current billing period. No refunds are provided for partial billing periods, except where required by applicable law.

We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing period following the notice.

9. Content Sharing and Collaboration

The Service allows you to share notes publicly via share links and to invite collaborators to edit notes in real time. When you share content publicly, anyone with the share link can view it without authentication. When you add collaborators, their identity and edits are visible to all participants in the session. You are responsible for the content you choose to share and for managing collaborator access.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or suitable for any particular academic, professional, or other purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Learnco and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of or inability to use the Service, including but not limited to damages arising from reliance on AI-generated content, academic outcomes, or data loss. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Learnco and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights (including intellectual property rights).

13. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct that we determine is harmful to the Service, other users, or third parties. We will make reasonable efforts to notify you before or at the time of termination, except where immediate action is required.

You may delete your account at any time from your account settings. Upon account deletion, we permanently and irreversibly delete your profile, uploaded content, study materials, chat history, and all other associated data from our systems and cancel any active subscriptions. Upon termination by either party, your right to use the Service ceases immediately.

14. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved in the courts of the Province of Ontario, and you consent to the exclusive jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Learnco regarding the Service and supersede all prior agreements and understandings.
